Welcome to StickyCTAs. These Terms of Service ("Terms") govern your use of our website and platform located at stickyctas.com ("Service"), operated by StickyCTAs, a DBA of Moonlight Marketing Agency LLC ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.
By creating an account, making a purchase, or otherwise using our Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service. These Terms constitute a legally binding agreement between you and StickyCTAs. If you are acting on behalf of a company or organization, you represent that you have the legal authority to bind that entity to these Terms.
By using our Service, you consent to receive electronic communications from us, including but not limited to billing notifications, account confirmations, password resets, subscription updates, and transactional emails. You agree that all such communications satisfy any legal requirement that such notices be in writing. You may opt out of non-transactional communications at any time; however, transactional emails related to your account and billing cannot be disabled.
StickyCTAs is a SaaS platform that enables website owners and digital marketing agencies to create, customize, and deploy floating call-to-action (CTA) contact widgets on their websites. The widgets allow end users of your website to reach you via email, SMS, phone, or custom links.
Our Service operates on a freemium model:
To use our Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep that information up to date. You are responsible for safeguarding your account credentials and for any actions taken under your account. You must notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age to create an account and use our Service. By using the Service, you represent that you meet this age requirement.
Each individual or organization is permitted to create one account. If you are acting on behalf of an organization, you may grant access to team members through our team management features. You will be responsible for the actions of all team members operating under your organization account.
You are responsible for maintaining the confidentiality of your account password and for restricting access to your account. You agree to notify us immediately of any suspected unauthorized access. We reserve the right to terminate accounts that we believe have been compromised or are being used in violation of these Terms.
Subscription billing is managed through Stripe. Your subscription is charged on a monthly recurring basis. You may activate or deactivate widgets at any time, and your subscription charges will adjust accordingly based on the number of currently active widgets.
We may offer a free trial period for our paid Service. During the trial, you will not be charged. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
You agree to pay all charges associated with your subscription as billed to you by us. Payment is due at the beginning of each billing cycle. If payment fails, we reserve the right to suspend or terminate your access to paid features after a reasonable grace period.
Refund requests must be submitted within 14 days of the original purchase or renewal date. To request a refund, please contact us at stickyctas@moonlightmarketingagency.com. Refunds are granted at our discretion and may not be issued if the Service has been actively used during the billing period. Renewal payments are not eligible for refund; we will send a renewal notification email prior to your renewal date so you may cancel before being charged.
We reserve the right to modify our pricing at any time. We will notify you of any price changes at least 30 days in advance via email. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations. You agree not to:
Technical support is provided exclusively to users with an active account in good standing. Support for paid features is available to active subscribers only. Free accounts may access publicly available documentation and resources.
If you contact our support team, we may ask you to provide information about your widget configuration or account details to assist with troubleshooting. We will only use this information for the purpose of resolving your issue and will handle it in accordance with our Privacy Policy.
The Service, including its design, code, content, and branding, is the intellectual property of StickyCTAs. You may not copy, modify, distribute, or create derivative works without our prior written consent.
Any content you create using our Service (e.g., widget configurations, branding, contact information) remains your property. By using our Service, you grant us a limited, non-exclusive license to host and display your content solely for the purpose of providing the Service.
The embed code and widget script provided by StickyCTAs are licensed to you for use on your websites solely in connection with an active account. This license is revoked upon termination of your account.
When you deploy a StickyCTAs widget on your website, your visitors will interact with our Service. You are responsible for ensuring that your website's privacy policy and terms of service accurately reflect the use of third-party tools such as StickyCTAs. You must not deploy widgets in a manner that is deceptive or misleading to your visitors.
To the fullest extent permitted by applicable law, StickyCTAs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you shall not exceed the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, and NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
The Service is provided on an "as available" basis. We do not guarantee any specific uptime percentage, availability level, or continuity of service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
The Service depends on third-party infrastructure providers, including Vercel (application hosting and delivery), Supabase (database and authentication), and Stripe (payment processing). Any outages, disruptions, degraded performance, or service interruptions caused by these third-party providers are outside of StickyCTAs' control and do not constitute a breach of these Terms.
StickyCTAs is not liable for any downtime, data loss, or inability to access or use the Service caused by outages or failures of third-party infrastructure providers. You acknowledge that the Service should not be relied upon for mission-critical operations where uninterrupted availability is required.
You may terminate your account at any time by canceling your subscription and deleting your account through the dashboard settings. Upon termination, your widgets will be deactivated and your data will be retained for 30 days before permanent deletion.
We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms. We will provide notice where practicable. Upon termination, your access to the Service will cease immediately.
The Service operates under a fair use policy to ensure platform stability and reasonable costs for all users. Each active widget includes up to 100,000 page views per month. This limit is designed to accommodate the vast majority of small to medium-sized websites.
If your widget consistently exceeds this threshold, we will contact you to discuss enterprise pricing options tailored to high-traffic websites. We reserve the right to rate limit, throttle, or suspend service for accounts generating excessive traffic that impacts platform performance or incurs unreasonable infrastructure costs.
"Excessive usage" beyond the fair use threshold is determined at our sole discretion and generally means usage patterns significantly beyond 100,000 page views per widget per month, or patterns that suggest abuse, automation, bot traffic, or intentional resource consumption. We will make reasonable efforts to notify you before suspending service for excessive usage, but we reserve the right to act immediately if necessary to protect platform stability.
No refunds will be issued for suspensions due to excessive usage or violation of fair use policies.
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Mexico.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
